PathWork Session Terms

1. Structure

Buyer means the person or organization that books. Expert means the Accumentum alumnus who listed the offer. Session means the accepted booking, including title, price, duration or turnaround, deliverable, and intake.

These Session Terms plus the booking record are the contract. If the booking record conflicts with these terms, the booking record wins, except that Accumentum’s marketplace role, fees, and payment rails cannot be varied.

Accumentum is not a party. Accumentum does not perform, supervise, or warrant the work.

2. Scope

The expert performs only what the booking describes. Anything else is out of scope until both sides record a change on PathWork. Unclassified, packaged work only. Production systems, classified or CUI material, live incident response, and exam dumps are out of scope even if a buyer asks.

3. Expert duties

The expert will perform with the care reasonably expected of a competent practitioner in the listed practice area, keep the buyer informed, stay inside the unclassified scope, and handle the buyer’s materials only for the session.

The expert is an independent contractor, responsible for taxes, contributions, and insurance.

4. Buyer duties

The buyer will provide unclassified materials needed for the deliverable, will not introduce banned work, and will review notes or async deliverables in the review window in the Payment Instructions.

5. Confidentiality and notes

Intake, session notes, and the deliverable are confidential to the parties, except that Accumentum may access them to operate PathWork, allocate held funds, and police banned work.

Session-note templates on PathWork are structured fields. They are not legal advice, not an audit, and not a certification.

Confidentiality lasts five years, and without time limit for trade secrets.

6. Intellectual property

Each party keeps IP it brought in. The expert keeps methodologies, templates, and know-how. On payment in full, the expert assigns to the buyer the bespoke content of that session’s deliverable — the path map, marked grid, commented questionnaire, or punch list written for that buyer. Methodologies stay with the expert. Neither party uses the other’s name in publicity without consent. Accumentum’s name and PathWork marks stay with Accumentum.

7. Personal data

Where the expert processes personal data for the buyer, the buyer is controller and the expert is processor for that data. Share the minimum. Do not upload special-category data or customer PII into PathWork. Accumentum’s processing of platform records is described in the PathWork Privacy Supplement.

8. Price and payment

The price is the list price on the booking. The buyer pays through PathWork, not to the expert directly. Release follows the Payment and Release Instructions. Each party handles its own taxes. The 12% take is Accumentum’s, deducted from the expert side.

9. Warranties and liability between the parties

The expert warrants professional care and that, to its knowledge, the deliverable does not infringe third-party IP. Credential-path and architecture sessions describe a point-in-time view. They do not warrant that an exam will be passed, that a system is secure, or that a regulator will accept an outcome.

Neither party excludes liability that cannot be limited. Subject to that, neither is liable for lost profit or indirect loss, and each party’s total liability is limited to the list price of that Session. The limit does not apply to the buyer’s duty to pay, or to a breach of confidentiality or of the banned-work rules.

10. End of the session

The contract starts when checkout completes and ends when the work is marked complete and funds are released, unless it ends earlier. Either party may terminate for a material breach not cured in fifteen days, or immediately if continuing would be unlawful. Convenience termination is through PathWork: the expert is paid for accepted work; unused held funds return to the buyer.

11. Disputes

Raise the issue on PathWork first and try to resolve it within nine days. Either party may also open a funds dispute under the Payment Instructions. Accumentum’s allocation of held funds does not decide the rest of the contract. Governing law is Texas, matching the Marketplace Terms.
